SOCKY END USER LICENSE AGREEMENT AND TERMS OF USE

This End User License Agreement and Terms of Use (“Agreement” or “EULA”) governs your access to and use of the Socky mobile application, related websites, features, subscriptions, digital content, and services (collectively, the “Services”).

Socky is provided by Curious Media, Inc. (“Curious Media,” “we,” “us,” or “our”).

By downloading, installing, creating an account for, purchasing content through, or otherwise using Socky, you agree to this Agreement and the Socky Privacy Policy.

If you do not agree, do not use the Services.


1. Accounts and Family Use

Socky is a creative application intended for adults and designed with families in mind. Socky accounts are intended to be created and managed by adults. Children may participate in the creative experience only under the authorization and supervision of a parent or legal guardian. Children under 13 may not independently create or manage a Socky account or independently submit personal information through the Services.

The account holder is responsible for:

2. License to Use Socky

Subject to this Agreement, Curious Media, Inc. grants you a limited, non-exclusive, revocable, and non-transferable license to use the application and Services for their intended purposes.

For applications obtained through Apple's App Store, this license permits use of Socky on Apple-branded products that you own or control and as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.

Where permitted by Apple, Socky may also be accessed and used by other accounts associated with the purchaser through Family Sharing, volume purchasing, or Legacy Contacts.

You may not:

Nothing in this Agreement permits use of Socky in a manner inconsistent with Apple's applicable Usage Rules for applications distributed through the App Store.

3. Private Creation Environment

Socky operates primarily as a private creation tool.

A user's puppet library is private and is not publicly browsable by other Socky users.

Socky does not currently provide:

Users may export or share supported recorded performances or other content outside Socky. Once content is exported or shared outside Socky, its use may also be subject to the terms, privacy practices, and content rules of the third-party service through which it is shared.

4. User-Created Content

“User Content” means original content created, uploaded, recorded, submitted, or otherwise provided by you through Socky, including puppets, artwork, images, performances, recordings, and related creative materials.

You retain ownership of the portions of your User Content that you legally own, including your original content that you upload to or create through Socky.

You do not acquire ownership of:

If your User Content incorporates Socky-owned or Licensed Content, you retain ownership of your original contributions, but you do not acquire ownership of the underlying Socky-owned or Licensed Content.

Using Socky’s manual, automated, or artificial-intelligence tools to modify, customize, or otherwise alter content does not, by itself, change ownership of the underlying content or intellectual-property rights.

5. License You Grant to Socky

By creating, uploading, submitting, or otherwise making User Content available through Socky, you grant Curious Media, Inc. a non-exclusive, royalty-free, worldwide license to:

Curious Media, Inc. may sublicense these limited operational rights to vendors and service providers performing services on its behalf.

These rights are limited to activities reasonably necessary to provide, operate, maintain, secure, support, and improve the Services. You also grant Curious Media, Inc. the right to feature and use User Content made available through Socky in marketing and promotional materials, subject to any consent or authorization required by applicable privacy, children's privacy, publicity, and other laws.

This license does not transfer ownership of your original User Content to Curious Media, Inc.

6. Artificial Intelligence

Socky may use artificial intelligence and automated technology to provide creative functionality and perform safety moderation.

Socky uses Runway, a third-party artificial-intelligence service, to provide certain AI-powered creative features. When a user chooses to use those features, text prompts and images submitted for those features may be transmitted to and processed by Runway. Runway may retain, use, or otherwise process submitted information in accordance with its applicable terms, privacy practices, and any applicable agreement between Runway and Curious Media, Inc., including for purposes related to providing, maintaining, moderating, or improving its services and artificial-intelligence technologies.

Use of Runway-powered AI features is optional. Users who do not consent to the transmission of their information to Runway may continue to use non-AI features of Socky, but will not be able to use features that require Runway processing.

Curious Media, Inc. does not independently use User Content to train artificial-intelligence models.

User Content may also be processed by automated systems when necessary to conduct moderation and safety review.

AI-generated or AI-assisted results may:

Socky does not guarantee the accuracy, completeness, quality, or suitability of AI-generated output.

7. AI Results and Refunds

AI-generated results are inherently variable.

Curious Media, Inc. does not issue refunds for AI-generated results, including because a user dislikes or is dissatisfied with an AI-generated image, render, video, or other result. Refunds, if any, are subject to applicable law and the refund policies of the applicable App Store.

8. Voice, Audio, and Performances

Socky does not provide AI-generated voice cloning.

Users may provide or record their own voices, audio, and performances using supported features.

Completed user-recorded videos are made available for saving to the user's device and are not stored in the user's Socky puppet library. Socky does not provide a public library or feed of user-recorded videos.

Users are responsible for obtaining any rights or permissions necessary for voices, audio, or performances they upload, publish, distribute, or commercially use through or outside Socky.

9. Real People and Likenesses

Socky may allow users to create puppets or other content based on real people.

Users are responsible for obtaining any legally required consent, release, or permission before publishing, distributing, or commercially using another person's:

Curious Media, Inc. does not grant or represent that users have any rights belonging to another person.

10. Prohibited Content and Conduct

Users must comply with the content and conduct requirements set forth in this Agreement.

Socky may restrict content involving:

Socky may use automated systems to evaluate and moderate content.

Authorized Curious Media, Inc. personnel have final authority regarding disputed moderation decisions

Curious Media, Inc. may block processing, restrict features or content, suspend an account, or terminate access when appropriate.

11. Safety Complaints

Serious safety and child-safety complaints will be prioritized for review.

Curious Media, Inc. will review serious safety or child-safety complaints within one business day after receipt.

12. Copyright and Third-Party Rights

Users are responsible for ensuring that their User Content and use of the Services do not violate copyrights, trademarks, publicity rights, privacy rights, or other third-party rights.

Because Socky operates primarily as a private creation environment and does not publicly post private puppet libraries, Curious Media, Inc. does not proactively review every private creation for potential infringement.

If Curious Media, Inc. receives an intellectual-property complaint relating to content or activity under its control, it will prioritize review of the complaint and generally aims to review it within two business days.

Curious Media, Inc. may restrict content, features, or accounts when reasonably appropriate.

DMCA Copyright Notices

Curious Media, Inc. has designated an agent to receive notifications of claimed copyright infringement under the Digital Millennium Copyright Act ("DMCA"). Copyright owners or their authorized agents may submit notices of claimed infringement to:

A DMCA notice should include the information required by 17 U.S.C. § 512(c)(3), including identification of the copyrighted work claimed to have been infringed, identification of the allegedly infringing material and information reasonably sufficient to locate it, the complaining party's contact information, the required good-faith statement, the required statement regarding accuracy and authority, and a physical or electronic signature.

Curious Media, Inc. may remove or disable access to material when appropriate in response to a valid copyright infringement notice.

Curious Media, Inc. has adopted a policy providing for the termination, in appropriate circumstances, of accounts of users who are repeat copyright infringers.

Counter-Notifications. If material is removed or access is disabled in response to a DMCA notice, the affected user may submit a counter-notification to the DMCA Designated Agent containing the information required by 17 U.S.C. § 512(g)(3). Curious Media, Inc. will process valid counter-notifications in accordance with the DMCA.

13. Licensed Characters and Content

Socky may offer characters, brands, artwork, packs, or other content licensed from third parties (“Licensed Content”).

Curious Media, Inc. is responsible for obtaining the rights necessary to offer Licensed Content through Socky. Users are not responsible for obtaining licenses for Licensed Content provided by Socky, but must use that Licensed Content only as permitted by this Agreement and any applicable license restrictions.

Licensed Content remains owned by the applicable licensor.

Accessing, purchasing, modifying, customizing, or otherwise using Licensed Content does not transfer ownership of the underlying Licensed Content to the user.

Use of Licensed Content is subject to:

Licensed characters and user-created puppets may coexist where permitted by the applicable licensor.

Curious Media, Inc. may restrict:

Third-party licensors do not receive access to users' private User Content solely because they license materials to Curious Media, Inc.

14. User-Created Lookalikes

Socky's creation tools may enable users to privately create puppets resembling existing characters or other protected intellectual property.

Users are responsible for determining whether the creation, publication, distribution, or commercialization of that content violates third-party rights.

Socky’s ability to generate or create content resembling third-party intellectual property does not grant the user any right, license, or authorization to use that intellectual property.

15. Offensive Use of Licensed Content

Licensed Content may not be used in violation of this Agreement, applicable law, or restrictions imposed by the applicable licensor.

Curious Media, Inc. may, as appropriate:

16. Expiration of Licensed Content Rights

Availability and continued use of Licensed Content may depend on Curious Media, Inc.’s agreement with the applicable licensor.

If an applicable licensing agreement expires or terminates, continued access to, creation with, download, export, or other use of the affected Licensed Content will be subject to the terms of the applicable licensing agreement and any resulting restrictions on Curious Media, Inc.’s rights.

Curious Media, Inc. does not guarantee that Licensed Content will remain available indefinitely.

The expiration, termination, or modification of a third-party licensing agreement does not, by itself, entitle a user to a refund from Curious Media, Inc. Any refund eligibility is subject to applicable law and the refund policies of the applicable App Store.

17. Commercial Use

Users may commercially use their original Socky creations, subject to:

Commercial use of original User Content does not grant users any additional rights to Licensed Content or other third-party intellectual property. Use of such content remains subject to the applicable license or rights holder's restrictions.

18. Creator Sales and Licensing

Socky does not provide a creator marketplace or creator-to-creator licensing system at launch.

Users may not sell, transfer, or license puppets or other creative assets to other Socky accounts through the Services unless Curious Media, Inc. introduces functionality specifically permitting such transactions.

19. Sponsored and Influencer Content

Users and influencers may create sponsored, branded, promotional, or paid commercial content using Socky, subject to applicable rights and licensing restrictions.

Users are responsible for complying with applicable:

Users are responsible for clearly disclosing paid, sponsored, or other material relationships with brands when required by applicable law.

20. Subscriptions

Socky offers auto-renewable subscriptions.

Before purchase, the applicable subscription screen will display the subscription's:

Subscriptions automatically renew at the end of each subscription period unless canceled by the user. Cancellation prevents future renewal but does not entitle the user to a refund for the current or any previously billed subscription period. Refunds, if any, are subject to applicable law and the refund policies of the applicable App Store.

Users may manage or cancel App Store subscriptions through their Apple account settings.

21. Subscription Credits

Monthly subscription credits are provided for use during the applicable monthly billing period.

Unused monthly subscription credits do not roll over and expire at the end of the applicable billing period.

This expiration and non-rollover policy will be disclosed with the applicable subscription offering before purchase.

22. Purchased and Non-Subscription Credits

Credits purchased separately from monthly subscription credits do not expire.

Purchased and non-subscription credits are separate from monthly subscription credits and are not subject to the expiration or non-rollover rules applicable to monthly subscription credits.

If a user permanently deletes their Socky account, the user will lose access to any unused credits associated with that account. Purchased and non-subscription credits cannot be transferred to a new or different Socky account. Deleting the Socky application from a device does not constitute account deletion.

23. Changes to Subscription Plans

Curious Media, Inc. may change subscription prices, credit allocations, features, benefits, or plan structures.

Material changes affecting an existing subscriber will take effect in accordance with applicable law and applicable App Store requirements, including any required notice or subscriber consent.

Changes will not retroactively reduce benefits already purchased for a completed billing period.

24. Purchases and Transfers

Purchases, subscriptions, Licensed Content, content packs, credits, and other account entitlements are associated with the purchasing account and are non-transferable unless Curious Media, Inc. expressly provides otherwise.

25. Watermarks

Certain outputs may contain a Socky watermark.

Watermark removal may be available through paid features or other functionality expressly provided by Socky.

Users may not circumvent, disable, or otherwise remove watermark restrictions except through functionality expressly provided by Socky.

26. Account Deletion

Users may initiate deletion of their Socky account through Socky's account-deletion functionality.

Following a deletion request, Curious Media, Inc. will permanently delete the user's Socky account and applicable account information and User Content within approximately 30 days, except for information that may be retained as required or permitted by applicable law.

Curious Media, Inc. may retain anonymized or de-identified information that no longer identifies the user.

Information previously transmitted to third-party service providers may be processed or retained in accordance with those providers' applicable terms, privacy practices, and retention requirements.

Deleting a Socky account does not cancel an active App Store subscription. Subscription billing may continue through Apple until the subscription is canceled. Users are responsible for separately managing or canceling App Store subscriptions through their Apple account.

Where available, Socky may provide functionality or a link allowing users to manage their App Store subscription as part of the account-deletion process.

27. Inactive Accounts

Curious Media, Inc. may close a Socky account after two years of inactivity.

Before closing an inactive account, Curious Media, Inc. will attempt to provide reasonable notice to the email address associated with the account.

Following closure, account information and User Content will be handled in accordance with the Socky Privacy Policy and applicable law.

28. Security

Curious Media, Inc. uses reasonable administrative, technical, and organizational safeguards designed to protect user information against unauthorized access, use, disclosure, alteration, or destruction.

However, no method of electronic transmission or storage can be guaranteed to be completely secure.

29. Suspension and Termination

Curious Media, Inc. may restrict, suspend, or terminate a user's access to or use of the Services when reasonably necessary to:

30. Business Transfers

If Socky or substantially all assets related to the Services are acquired, sold, merged, reorganized, or otherwise transferred, applicable user accounts, contractual rights, licenses, and obligations may be transferred to a successor or acquiring entity.

Users will be provided notice where required by applicable law.

31. Death of an Account Holder

Socky accounts, licenses, purchases, credits, and other account entitlements are personal and non-transferable.

Upon an account holder's death, such accounts, licenses, purchases, credits, and entitlements do not automatically transfer to another individual, beneficiary, or estate, except as required by applicable law.

Curious Media, Inc. may require reasonable documentation to verify an account holder's death and the authority of any person requesting action regarding the account.

32. Privacy

Curious Media, Inc.’s collection, processing, storage, use, sharing, retention, and deletion of personal information through Socky are governed by the Socky Privacy Policy.

33. Maintenance and Support

Curious Media, Inc., not Apple, is responsible for providing any maintenance and support services for Socky that are required under applicable law or expressly promised through the Services.

Apple has no obligation to furnish maintenance or support services for Socky.

34. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOCKY AND THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

CURIOUS MEDIA, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

Nothing in this Agreement limits any rights or warranties that cannot legally be waived or disclaimed.

For an application obtained through Apple's App Store, if Socky fails to conform to an applicable warranty that cannot legally be disclaimed, the user may notify Apple, and Apple will refund the purchase price paid for the application, if any.

To the maximum extent permitted by applicable law, Apple has no other warranty obligation regarding Socky. Any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to an applicable warranty are the responsibility of Curious Media, Inc.

35. Product Claims

Curious Media, Inc., not Apple, is responsible for addressing claims by users or third parties relating to Socky or a user's possession or use of Socky.

These claims may include:

Nothing in this Agreement limits Curious Media, Inc.’s liability to users beyond what is permitted by applicable law.

36. Intellectual-Property Claims Concerning the App

If a third party claims that the Socky application itself, or a user's authorized possession or use of the Socky application, infringes that party's intellectual-property rights, Curious Media, Inc., not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.

This section applies only to intellectual-property claims concerning the Socky application itself and does not apply to infringement arising from User Content or a user's unauthorized use of third-party intellectual property. Users remain responsible for User Content and third-party rights as described elsewhere in this Agreement.

37. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CURIOUS MEDIA, INC. AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE SERVICES OR THEIR USE.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, CURIOUS MEDIA, INC.’S TOTAL LIABILITY TO YOU FOR DAMAGES ARISING FROM OR RELATING TO THE SERVICES OR THIS AGREEMENT WILL NOT EXCEED $50.

Nothing in this Agreement excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

38. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Curious Media, Inc. and its affiliates, officers, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable costs and expenses arising from or relating to:

This section does not require you to indemnify Curious Media, Inc. for claims arising solely from Curious Media, Inc.’s own unlawful conduct or infringement.

39. Legal Compliance

By using Socky, you represent and warrant that:

  1. You are not located in a country or region subject to a United States Government embargo or designated by the United States Government as supporting terrorism; and
  2. You are not listed on any United States Government list of prohibited or restricted parties.

You must comply with all applicable laws and regulations when using Socky.

40. Third-Party Terms

You must comply with all applicable third-party agreements when using Socky.

41. Apple App Store - Acknowledgment

For Socky downloaded through Apple's App Store, you acknowledge and agree that:

For countries and regions where this custom EULA is submitted through App Store Connect, this Agreement is intended to serve as Socky's custom EULA.

42. Apple as Third-Party Beneficiary

You and Curious Media, Inc. acknowledge and agree that Apple Inc. and Apple’s subsidiaries are third-party beneficiaries of this Agreement for applications distributed through Apple’s App Store.

Upon your acceptance of this Agreement, Apple has the right, and is deemed to have accepted the right, to enforce the applicable provisions of this Agreement against you as a third-party beneficiary.

43. Changes to These Terms

Curious Media, Inc. may update this Agreement from time to time.

Material changes may be communicated through:

Updated terms will identify their effective or revision date.

Where applicable law requires notice or affirmative consent to a material change, Curious Media, Inc. will provide such notice or obtain such consent as required.

44. Governing Law and Disputes

This Agreement is governed by the laws of the State of Idaho, without regard to its conflict-of-law principles, except to the extent otherwise required by applicable law.

Subject to any rights or remedies that cannot be waived under applicable law, disputes arising from or relating to this Agreement or the Services will be subject to the jurisdiction of the state and federal courts located in Idaho.

Nothing in this section limits any consumer-protection rights or other rights that cannot be waived under applicable law.

45. General Terms

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by applicable law.

Failure to enforce any provision of this Agreement does not waive the right to enforce that provision or any other provision later.

This Agreement, together with the Socky Privacy Policy and any other policies expressly incorporated by reference, constitutes the agreement governing your use of Socky, subject to any rights that cannot be waived under applicable law.
